These Terms of Service (“Terms”) govern your access to and use of the website located at www.mirelloliving.com (the “Site”), including any purchases, accounts, subscriptions, pre-orders, promotions, features, content, products, and other services made available through the Site (collectively, the “Services”).

In these Terms, “Mirello Living,” “we,” “us,” and “our” refer to Shenzhen Rong'e Qu Trading Co., Ltd. “You” and “your” refer to any person accessing the Site, creating an account, or purchasing or using our products or Services.

Please read these Terms carefully before using our Site or placing an order.

By accessing the Site, creating an account, placing an order, subscribing to a recurring purchase, or otherwise using our Services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, you should not use the Site or Services.

1. SCOPE OF THESE TERMS

These Terms apply to all visitors, customers, account holders, purchasers, subscribers, and other users of the Site.

Nothing in these Terms is intended to exclude or restrict any consumer right that cannot lawfully be excluded or restricted.

1. ELIGIBILITY AND AGE REQUIREMENTS

By using our Services, you represent that you have the legal capacity to enter into a binding contract under the laws applicable to you.

If you are under the legal age of majority in your jurisdiction, you may use the Site or make purchases only with the involvement, supervision, and consent of a parent or legal guardian where permitted by law.

You may not use the Site or purchase products for any unlawful or unauthorized purpose.

1. CUSTOMER ACCOUNTS

Certain features of the Site may allow or require you to create an account.

You are responsible for providing accurate, current, and complete information and for keeping your account information updated.

You are also responsible for maintaining the confidentiality of your login credentials and for activities carried out through your account.

We reserve the right to suspend, restrict, or terminate an account where we reasonably believe that the account is being used fraudulently, unlawfully, abusively, or in violation of these Terms.

1. PRODUCT INFORMATION

We aim to describe and display our products as accurately as reasonably possible.

However, product colors, textures, dimensions, finishes, patterns, materials, packaging, and other visual characteristics may appear differently depending on lighting, photography, manufacturing variations, device settings, screen calibration, or other factors.

Minor differences that do not materially affect the normal use or functionality of a product will not necessarily constitute a defect, subject to applicable consumer law.

Measurements shown on the Site may be approximate unless expressly stated otherwise.

For handmade, textile, decorative, natural-material, printed, or similar products, reasonable variations between individual products may occur.

Product packaging may occasionally differ from images displayed on the Site.

You are responsible for reviewing the complete product description, dimensions, materials, care information, warnings, compatibility information, and other applicable details before purchasing.

1. PRODUCT AVAILABILITY

All products are subject to availability.

Adding an item to your shopping cart does not reserve the product or guarantee its availability.

We may limit the quantity of products available for purchase by a particular customer, household, account, payment method, shipping address, geographic area, or order where reasonably necessary to prevent fraud, unauthorized resale, abuse, inventory errors, or other legitimate business issues.

We reserve the right to discontinue or modify products at any time, subject to fulfilling orders that we have already accepted unless cancellation is permitted under these Terms or applicable law.

1. PRICES AND CURRENCY

Product prices are displayed in the currency selected or otherwise shown on the Site.

Prices may change from time to time without prior notice. A price change will not normally affect an order that we have already accepted and confirmed, except in the case of an obvious pricing error or where otherwise permitted by applicable law.

Depending on your location, displayed prices may or may not include sales tax, VAT, GST, import duties, customs charges, or similar government charges.

Applicable taxes collected by us will normally be displayed during checkout where technically available.

Currency conversion displayed on the Site may be approximate. Your bank, card issuer, PayPal, payment provider, or other financial institution may apply its own exchange rate, conversion fee, foreign transaction fee, or other charges.

We do not control fees imposed independently by your financial institution.

1. IMPORT DUTIES, TAXES, AND CUSTOMS

International orders may be subject to import duties, customs fees, VAT, GST, brokerage charges, clearance fees, or other taxes or charges imposed by the destination country.

Unless we expressly state at checkout that such charges are included in the purchase price, those charges may be payable separately by the recipient.

Customers are responsible for providing information reasonably required for customs clearance.

Customs procedures may delay delivery. Such delays may be outside our reasonable control.

Nothing in this section limits any obligation imposed on us by applicable tax, customs, or consumer protection law.

1. ORDERS AND CONTRACT FORMATION

When you submit an order, you are offering to purchase the selected products subject to these Terms.

An automated order confirmation or payment acknowledgment confirms that we have received your order. It does not necessarily mean that the order has been finally accepted.

Unless applicable law requires otherwise, a sales contract is formed when we accept your order by confirming fulfillment or shipment, or when we otherwise expressly confirm acceptance.

We may decline, limit, or cancel an order before acceptance for legitimate reasons, including:

suspected fraud or unauthorized payment;

incorrect or incomplete customer information;

product unavailability;

obvious pricing, description, or system errors;

shipping restrictions;

legal or regulatory restrictions;

suspected unauthorized resale or commercial purchasing;

or circumstances that make fulfillment reasonably impossible.

If we cancel an order after receiving payment and you are entitled to a refund, we will refund the applicable amount to the original payment method or another legally permitted method.

1. ORDER INFORMATION

You are responsible for providing accurate billing, shipping, contact, and payment information.

Please carefully review your shipping address, selected product, size, color, quantity, and other order information before submitting your order.

If you need to request a change, please contact us at support@mirelloliving.com as soon as possible.

Our current Shipping & Delivery Policy asks customers to submit change requests within 24 hours after placing an order.

We will make reasonable efforts to accommodate a change request, but we cannot guarantee that an order can be changed or cancelled once processing, fulfillment, or shipment has begun.

1. PAYMENT

Payment methods available to you will be displayed during checkout and may include credit cards, debit cards, PayPal, or other third-party payment methods.

By providing payment information, you represent that:

you are authorized to use the payment method;

the payment information provided is accurate;

and you authorize us and our payment service providers to charge the amount due for your order.

Payment processing may be provided by third-party payment processors.

We generally do not directly receive or store complete payment card information when transactions are handled by an authorized payment processor.

Your payment may be subject to additional terms and privacy policies of the applicable payment provider.

We may conduct or authorize reasonable payment verification, fraud screening, address verification, or transaction review before fulfilling an order.

1. PAYMENT AUTHORIZATION AND FAILED PAYMENTS

If your payment is declined, reversed, rejected, disputed, or otherwise cannot be completed, we may suspend or cancel the applicable order.

If a technical error results in an incorrect charge, please contact us promptly so that we can investigate.

You agree not to initiate a chargeback or payment dispute dishonestly or for the purpose of obtaining both the product and the purchase price.

Nothing in this provision prevents you from exercising legitimate rights available through your payment provider or applicable law.

1. SHIPPING AND DELIVERY

Shipping methods, estimated processing times, estimated delivery times, available destinations, and applicable shipping charges are described in our Shipping & Delivery Policy and may also be displayed at checkout.

Our current shipping information generally provides for order processing within approximately 72 hours after payment and estimated delivery periods that vary depending on destination and availability.

Delivery times are estimates unless we expressly agree to a guaranteed delivery date.

Actual delivery may be affected by carrier operations, customs clearance, weather, holidays, remote-area delivery, address issues, peak demand, supply interruptions, governmental actions, or other circumstances outside our reasonable control.

Some orders may be shipped in multiple packages or from different fulfillment locations. As a result, items from the same order may arrive at different times.

Where required by applicable consumer law, statutory delivery deadlines and remedies will apply.

1. SHIPPING ADDRESS AND DELIVERY PROBLEMS

You are responsible for providing a complete and accurate shipping address.

If a package cannot be delivered because an incorrect or incomplete address was provided, or because the recipient fails to complete required delivery or customs procedures, additional shipping or reshipping costs may apply to the extent permitted by law.

If tracking indicates that a package has been delivered but you cannot locate it, please check with household members, neighbors, building management, the delivery carrier, or other persons who may have accepted the package before contacting us.

If an order is lost in transit, arrives materially damaged, or contains missing items, please contact us promptly at support@mirelloliving.com with your order number and relevant supporting information.

1. RISK OF LOSS AND TITLE

To the extent permitted by applicable law, ownership of products transfers to you after we receive full payment and the products are delivered in accordance with the applicable transaction.

Risk of loss or damage will transfer at the point required by applicable law.

For jurisdictions where consumer law requires the seller to remain responsible for the goods until the consumer or a designated recipient takes physical possession, those mandatory rules will apply notwithstanding anything to the contrary in these Terms.

1. RETURNS AND REFUNDS

Returns, refunds, exchanges, damaged items, missing items, and related procedures are governed by our Return & Refund Policy, as amended from time to time.

Our current commercial return policy generally permits eligible products to be returned within 30 days after receipt, subject to the conditions stated in that policy.

before returning an item so that appropriate instructions can be provided.

For products received damaged, our current policy asks customers to contact us with photographic evidence and the relevant order number within 14 days after delivery.

This notification period is intended to help us investigate and resolve shipping or product issues promptly. It does not limit any longer period or remedy that you are entitled to under mandatory applicable law.

Refund eligibility, return shipping costs, original shipping charges, deductions, and refund timing will be determined in accordance with our Return & Refund Policy and applicable law.

1. STATUTORY CANCELLATION AND WITHDRAWAL RIGHTS

Customers in certain jurisdictions may have statutory rights to cancel or withdraw from an online purchase within a specified period, even where the product is not defective.

Any such mandatory rights remain unaffected by these Terms.

Where applicable law gives you rights that are more favorable than our standard commercial return policy, the applicable statutory rights will prevail.

Certain categories of goods may legally be excluded from cancellation or withdrawal rights, including in some jurisdictions customized goods, personalized goods, sealed hygiene products once unsealed, or other legally exempt products.

Any applicable exception will be applied only to the extent permitted by law.

1. SUBSCRIPTIONS AND RECURRING PURCHASES

From time to time, certain products may be offered on a subscription or recurring-purchase basis.

Where a subscription is offered, the applicable product page or checkout process will disclose material information such as the price, billing frequency, delivery frequency, subscription duration, and renewal terms.

By purchasing an automatically renewing subscription, you authorize us or our payment provider to charge your selected payment method at the disclosed recurring intervals unless and until the subscription is cancelled.

Your payment information may be securely stored by our payment provider for the purpose of processing future authorized payments.

Unless a different cancellation procedure is clearly disclosed at the time of purchase, you may manage or cancel an eligible subscription through the subscription-management link provided in your account or order confirmation, or by contacting us.

Cancellation generally applies to future recurring orders and does not automatically cancel or refund an order that has already entered fulfillment, unless required by applicable law or otherwise stated in our policies.

We will not intentionally impose recurring charges that were not adequately disclosed and authorized.

1. PRE-ORDERS

Certain products may occasionally be available for pre-order.

A pre-order means that you are ordering a product that is not yet immediately available for standard fulfillment.

The estimated availability or shipping date displayed for a pre-order is an estimate and may change because of manufacturing, freight, customs, inventory, or other supply-chain circumstances.

Depending on the offer, we may collect full payment, partial payment, or payment authorization when the pre-order is placed.

Where a balance remains payable, you authorize us to collect that balance in accordance with the terms disclosed when you place the pre-order.

Cancellation and refund rights for pre-orders are governed by our Cancellation Policy, Return & Refund Policy, the specific pre-order terms, and applicable law.

1. TRY-BEFORE-YOU-BUY OFFERS

Where we offer a “try before you buy” arrangement, the applicable offer will state the trial period and any applicable return requirements.

Your payment method may be authorized before shipment.

If you do not return the product within the applicable trial period in accordance with the disclosed requirements, we may charge your authorized payment method for the amount disclosed at checkout.

Any mandatory consumer rights remain unaffected.

1. PROMOTIONS, COUPONS, AND DISCOUNTS

Promotions, coupons, discount codes, free gifts, bundle offers, seasonal offers, and other promotional programs may be subject to additional terms.

Unless otherwise stated, promotional offers:

have no cash value;

may not be combined with other promotions;

may be limited to one use per customer, account, household, or order;

may apply only to eligible products;

and may expire or be withdrawn as permitted by law.

We may refuse or cancel the use of promotional codes that have been obtained, distributed, sold, duplicated, or used fraudulently or contrary to the applicable promotion terms.

If a promotion contains specific terms, those specific terms will govern that promotion.

1. ERRORS AND INACCURACIES

We try to keep information on the Site accurate and current.

However, the Site may occasionally contain typographical errors, incorrect product information, pricing errors, availability errors, promotional errors, or other inaccuracies.

Where permitted by law, we may correct errors or update information.

If an obvious error materially affects an order that you have already placed, we may contact you to confirm whether you wish to proceed on the corrected basis or cancel the affected order and provide an appropriate refund.

We will not rely on this section to avoid an order merely because we later decide that the agreed price was commercially unfavorable.

1. PRODUCT USE AND SAFETY

Products must be used only for their intended purpose and in accordance with any product-specific instructions, care labels, installation instructions, age recommendations, or safety warnings.

Decorative products are not necessarily toys and should not be treated as toys unless specifically identified as suitable for that purpose.

Products containing lights, electrical components, batteries, small components, cords, breakable materials, candles, or other potentially hazardous features must be used in accordance with applicable instructions and reasonable safety precautions.

You are responsible for determining whether a product is appropriate for your intended use unless otherwise required by applicable law.

Nothing in these Terms excludes liability that cannot lawfully be excluded for unsafe or defective products.

1. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Site and its content, including the Mirello Living name, logos, branding, photographs, graphics, designs, text, product descriptions, layout, software, icons, video, audio, and other materials, are owned by us, licensed to us, or otherwise used with authorization and are protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, lawful, non-commercial shopping purposes.

You may not reproduce, republish, distribute, modify, sell, commercially exploit, scrape, systematically download, frame, mirror, or create derivative works from Site content without our prior written permission, except where permitted by applicable law.

Nothing in these Terms transfers any ownership of our intellectual property to you.

1. REVIEWS, COMMENTS, AND USER CONTENT

If you submit a product review, photograph, comment, feedback, suggestion, social-media content, testimonial, or other material to us or through the Site (“User Content”), you represent that you have the right to submit that content.

You retain ownership of rights you legally hold in your User Content.

However, by submitting User Content for publication or promotional use, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, reproduce, display, publish, translate, adapt, distribute, and use that content in connection with our Site, products, marketing, and business, to the extent permitted by applicable law.

You must not submit content that:

infringes another person’s intellectual property, privacy, publicity, or other rights;

is knowingly false or misleading;

is defamatory, threatening, abusive, hateful, obscene, or unlawful;

contains malware or harmful code;

or falsely claims to be submitted by another person.

We may moderate or remove User Content where reasonably necessary, but we are not obligated to monitor all User Content.

1. PROHIBITED USES

You may not use the Site or Services to engage in unlawful activity or to violate these Terms.

Without limitation, you must not:

attempt to gain unauthorized access to the Site, accounts, servers, databases, or systems;

introduce viruses, malicious code, ransomware, spyware, or other harmful technologies;

interfere with the security or normal operation of the Site;

use automated systems to excessively scrape, crawl, harvest, or extract Site content or customer information;

impersonate another person;

submit fraudulent orders;

use stolen or unauthorized payment information;

circumvent purchase limits or security measures;

misuse discounts, refunds, chargebacks, promotional programs, or return procedures;

infringe intellectual property rights;

or use the Site for any activity prohibited by applicable law.

We may restrict or terminate access where we reasonably believe prohibited activity has occurred.

1. THIRD-PARTY SERVICES

Our Site is hosted using the Shopify e-commerce platform and may rely on other third-party providers for payment processing, analytics, advertising, customer service, shipping, tracking, fraud prevention, email delivery, subscription management, and other services.

Certain third-party services may be governed by their own terms and privacy policies.

We do not control independent third-party websites or services merely because they are linked from our Site.

A link does not necessarily constitute endorsement.

To the extent permitted by law, we are not responsible for losses caused solely by an independent third party that is outside our reasonable control.

This does not affect any legal responsibility we may have for our own acts, omissions, products, or contractual obligations.

Our collection, use, disclosure, storage, and other processing of personal information is governed by our Privacy Policy and applicable data protection laws.

The Site may use cookies and similar technologies for essential functionality, analytics, personalization, marketing, fraud prevention, and other purposes described in our privacy and cookie information.

Where consent is legally required for non-essential cookies or electronic marketing, we will seek that consent as required by applicable law.

1. MARKETING COMMUNICATIONS

If you subscribe to our mailing list or otherwise consent to receive marketing communications, we may send you information about products, promotions, offers, and Mirello Living news.

You may unsubscribe from marketing emails using the unsubscribe mechanism included in our communications.

Unsubscribing from marketing does not prevent us from sending transactional or service-related communications necessary to administer an order, account, refund, subscription, or other transaction.

1. ELECTRONIC COMMUNICATIONS

When you use the Site, place an order, create an account, or communicate with us electronically, you consent to receive transactional communications electronically to the extent permitted by law.

Electronic communications may include order confirmations, receipts, shipping notifications, account notices, subscription information, refund confirmations, policy notices, and other information relating to your transactions with us.

You are responsible for providing a valid email address and maintaining access to it.

1. DISCLAIMER OF WARRANTIES

We aim to provide reliable Site functionality and products that conform to their descriptions.

However, to the maximum extent permitted by law, we do not guarantee that the Site will always be uninterrupted, error-free, secure, or available.

The Site and general informational content are provided on an “as available” basis.

Nothing in these Terms excludes or limits any statutory warranty, guarantee, condition, product conformity requirement, or consumer protection right that cannot legally be excluded.

Where applicable law provides mandatory warranties concerning satisfactory quality, merchantability, conformity, fitness for purpose, durability, safety, repair, replacement, refund, or other consumer remedies, those rights remain unaffected.

1. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

In particular, nothing in these Terms is intended to exclude or limit liability for fraud, fraudulent misrepresentation, intentional misconduct, or death or personal injury where liability cannot legally be excluded.

Subject to those limitations and to the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses that were not reasonably foreseeable at the time the applicable contract was formed.

For customers acting in the course of a business and not as consumers, our aggregate liability arising from a particular order will, to the maximum extent permitted by law, be limited to the amount paid to us for the products giving rise to the claim.

Any limitation in this section applies only to the extent permitted by applicable law.

Mandatory consumer remedies and product liability rights remain unaffected.

1. INDEMNIFICATION

To the extent permitted by applicable law, if you use the Site for commercial purposes or engage in unlawful or intentional misuse of the Services, you agree to indemnify Shenzhen Rong'e Qu Trading Co., Ltd. and its officers, employees, affiliates, contractors, and service providers against third-party claims, losses, and reasonable costs arising directly from that unlawful or intentional misuse or from your infringement of a third party’s rights.

This section is not intended to impose an unreasonable indemnification obligation on an individual consumer.

1. FORCE MAJEURE

We will not be responsible for a delay or failure to perform an obligation to the extent the delay or failure results from circumstances beyond our reasonable control, subject to applicable law.

Such circumstances may include natural disasters, severe weather, fire, flood, epidemic or pandemic events, war, terrorism, civil disturbance, governmental action, sanctions or trade restrictions, customs delays, transportation disruption, labor disputes, carrier failures, port congestion, infrastructure outages, telecommunications failures, cyberattacks, or major supply-chain interruptions.

Where such circumstances materially affect an order, we will take commercially reasonable steps to communicate with affected customers and provide any remedy required by applicable law.

1. INTERNATIONAL USE AND LEGAL COMPLIANCE

The Site may be accessible from many countries, but this does not mean every product or Service is legally available in every jurisdiction.

You are responsible for complying with laws applicable to your own use of the Site, provided that this does not shift to you any legal obligations that applicable law places on us as the seller.

We may restrict shipping destinations, payment methods, products, accounts, or transactions where necessary to comply with legal, regulatory, sanctions, customs, carrier, or payment-provider requirements.

1. CONSUMER RIGHTS

1. GOVERNING LAW

To the extent permitted by applicable law, these Terms and contractual relationships between you and Shenzhen Rong'e Qu Trading Co., Ltd. are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles that would require application of another law.

However, if you are a consumer and mandatory laws of your country or habitual residence give you protections that cannot legally be excluded by contractual choice of law, nothing in this section deprives you of those protections.

1. DISPUTE RESOLUTION AND JURISDICTION

We encourage customers to contact us first at support@mirelloliving.com so that we can attempt to resolve disputes directly.

If a dispute cannot be resolved informally, then, to the extent permitted by applicable law, disputes arising out of or relating to these Terms, the Site, the Services, or a purchase from Mirello Living may be submitted to the competent courts having jurisdiction in the State of California, United States.

If mandatory consumer law gives you the right to bring proceedings in the courts of your place of residence, or otherwise prevents us from requiring disputes to be heard exclusively in California, those mandatory rights remain unaffected.

Nothing in these Terms prevents either party from seeking any urgent or interim remedy available under applicable law.

1. SUSPENSION AND TERMINATION

You may stop using the Site at any time.

We may suspend or terminate access to the Site or an account where we reasonably believe that you have materially violated these Terms, engaged in fraud, abused our systems, infringed another person’s rights, or created a security or legal risk.

Termination does not affect rights or obligations that arose before termination, including outstanding payment obligations, valid refund rights, intellectual property rights, and provisions that by their nature are intended to survive termination.

1. CHANGES TO THE SITE OR SERVICES

We may modify, update, suspend, replace, or discontinue features of the Site or Services from time to time.

We will not use such modifications to avoid fulfilling existing contractual obligations.

Where a change materially affects an existing subscription or continuing contractual relationship and applicable law requires advance notice or consent, we will provide it as required.

1. SEVERABILITY

If any provision of these Terms is determined by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, severed from these Terms.

The remaining provisions will continue in effect.

1. NO WAIVER

If we do not immediately enforce a provision of these Terms, that does not mean that we have waived our right to enforce it later.

You may not transfer your contractual rights or obligations under these Terms to another person without our consent where such consent is legally permitted to be required.
